Sometimes having any non-Microsoft anti-virus installed can be a problem. I find that sometimes a clean boot prior to upgrade helps: use Task Manager Startup tab to disable all startup items run msconfig and disable all non-Microsoft services restart and try the upgrade You can enable everything after the upgrade has succeeded.
